All intellectual property, source code, designs, content, documentation, systems, and methodologies created by or provided through IITDS remain the sole property of IITDS or our licensed providers, unless otherwise agreed upon. Clients are granted a non-exclusive, non-transferable license to use the deliverables for their intended internal business purpose upon full payment. You may not copy, modify, distribute, reverse engineer, resell, or sublicense any part of our platform, services, or intellectual property without written permission from IITDS. Any data, files, or content uploaded to our systems or entrusted to us during the course of providing services remains your property. However, you grant us a limited license to store, access, and use that data solely for the purpose of delivering our services effectively.

IITDS takes user privacy seriously. Our data collection and usage practices are governed by our Privacy Policy, which is considered a binding extension of these Terms. While we implement robust technical and administrative safeguards to protect client data, no system can be guaranteed entirely immune to cybersecurity risks. You acknowledge and accept the inherent risks involved in transmitting information via the internet, and agree that IITDS shall not be held liable for data loss, corruption, or unauthorized access unless such events result from our proven negligence.

Your use of any such third-party services is subject to their respective terms and conditions, and IITDS assumes no responsibility for any faults, outages, or data loss attributable to third-party systems. You agree to indemnify and hold harmless IITDS, its employees, partners, and affiliates from and against all liabilities, losses, damages, claims, and expenses including reasonable attorney fees arising from your use of our services, your violation of these Terms, or any misuse of data or content originating from your side. To the maximum extent permitted by law, IITDS will not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, data, or goodwill resulting from the use or inability to use our services. Any liability arising out of these Terms or your use of the services shall be limited to the total amount you paid to us in the three months preceding the incident giving rise to the claim.

We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without cause, and with or without notice. Grounds for termination may include but are not limited to breach of these Terms, non-payment, illegal activity, or conduct that could harm our reputation or infrastructure. Upon termination, your access to our systems will be disabled and any stored data may be deleted permanently. It is your responsibility to secure necessary backups and migrate any data before termination.

These Terms shall be governed and interpreted in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising under these Terms or in connection with our services shall first be addressed through amicable negotiation. If resolution cannot be reached, both parties agree to submit to the exclusive jurisdiction of the courts located in Dhaka. Any claim must be brought within twelve months of the cause of action.

IITDS may revise or update these Terms from time to time. We will make reasonable efforts to notify clients of significant changes through our website or by email. Your continued use of our services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated terms, you must discontinue using our services.
